The AI-driven services and models provided within all applications developed by Leox AI Ltd are non-sentient computational tools. They are NOT human, NOT licensed therapists, and NOT crisis counsellors. The AI does not possess feelings, consciousness, or the capacity for empathy. If you are experiencing a mental health crisis, contemplating self-harm, or in a life-threatening situation, you must IMMEDIATELY DISCONTINUE use of the service and contact professional emergency services (e.g., call 999 or 111 in the UK, 988 in the US) or a certified crisis hotline. Do not seek emotional support or life-safety guidance from these AI models.

AUTOMATIC AGREEMENT AND MANDATORY USE TERMS

By entering this website (leoxapp.ai), or by downloading, installing, accessing, or utilising any mobile applications or services developed by Leox AI Ltd (collectively, "the Services"), you are deemed to have read, understood, and automatically agreed to be bound by these Terms of Service and our Privacy Policy. This constitutes a legally binding contract between you and Leox AI Ltd. If you do not agree to every part of these Terms of Service and Privacy Policy, you must immediately cease all access to this website and immediately delete, uninstall, and discontinue all use of our applications and services.

1. Acceptance of Terms

By accessing the website leoxapp.ai or utilising any mobile applications developed by Leox AI Ltd ("we," "our," or "us"), you ("the User") explicitly agree to be bound by these Terms. This agreement constitutes a legally binding contract between you and Leox AI Ltd.

2. Eligibility and Export Control

Age Requirement: You must meet the minimum age requirements of your jurisdiction (e.g., 13 in the UK/US, 16 in the EU) to create an account.
Global Compliance and Sanctions: You represent and warrant that neither you, nor any organisation, group, legal entity, or intermediary acting on your behalf, is:
1. Located in, a resident of, or organised under the laws of any country or territory subject to comprehensive government embargoes or sanctions by the United Kingdom (UK), United Nations (UN), United States (US), European Union (EU), or other major Western nations;
2. Identified on any restricted party list, "terrorist supporting" list, or consolidated sanctions list maintained by the aforementioned authorities. This includes, but is not limited to, the UK Sanctions List, the US Specially Designated Nationals (SDN) List, the EU Consolidated List of Financial Sanctions, and any other specific lists of prohibited or restricted parties.
Access to or utilisation of any applications, software, or services provided by Leox AI Ltd is strictly prohibited for any such sanctioned individuals, entities, or intermediaries. You must comply with all applicable export, re-export, and transfer control laws and regulations at all times.

3. Nature of AI Services, Tiered Architecture and Absolute Disclaimer of Content

Our applications utilise a tiered AI architecture—ranging from device-native and local embedded models to third-party enterprise cloud APIs (including but not limited to Microsoft Azure AI, Google Vertex AI, and OpenAI Enterprise).

Probabilistic Output: You acknowledge that all AI outputs are probabilistic. They may be inaccurate, incomplete, biased, or inconsistent with real-world facts. Outputs are generated by machine learning algorithms and do not represent the views of Leox AI Ltd.
No Professional Advice: The AI is provided for informational purposes only. It is NOT a substitute for professional advice from a doctor, veterinarian, financial advisor, or legal expert.
"As-Is" Provision: All data, exchange rates, information, advice, opinions, conversations, generated outputs, documents, images, video, and audio files—whether provided via local models, the application’s native software, or third-party integrations—are provided on an "AS IS" and "AS AVAILABLE" basis.
Comprehensive Disclaimer: To the maximum extent permitted by law, Leox AI Ltd expressly disclaims any and all responsibility, warranties, or representations regarding the timeliness, accuracy, legality, regulatory compliance, reasonableness, feasibility, safety, suitability, professionalism, morality, or ethicality of any content or data provided through the Services.
No Warranty: We do not warrant that the Services will be error-free, uninterrupted, or that any output will meet your specific requirements or comply with local social, moral, or legal standards. You acknowledge that you use such information at your own sole risk.

4. User Duty to Evaluate, Ultimate Personal Responsibility and "Human-in-the-Loop" Mandate

Compulsory Human Analysis: You are strictly prohibited from taking any real-world action or making life-altering decisions based solely on AI functions, analysis, suggestions, or generated content. You have a binding legal obligation to perform a comprehensive and detailed human analysis involving relevant professionals, family members, or experts before any physical, financial, or emotional action is taken.
Realistic Use: Users must decide and consider the correct use of the application and models based on actual, healthy, and realistic circumstances.
No Reliance: You agree not to rely on the AI as a "sole source of truth." Leox AI Ltd is not responsible for any consequences resulting from your failure to apply independent human judgement.
Mandatory Professional Consultation: Before processing, initiating, or engaging in any real-world action, financial transaction, or legal conduct based on the Services, you are under a strict contractual and legal obligation to:
1. Seek formal consultation from certified human experts in the relevant professional field (e.g., licensed financial advisors, medical professionals, or legal counsel);
2. Exercise your own common sense, personal knowledge, cognition, and sound judgement;
3. Evaluate all outputs against prevailing logic, factual reality, and applicable legal frameworks.
Assumption of Ultimate Responsibility: You hereby acknowledge that you bear the sole and ultimate responsibility for any and all decisions made or actions taken. Leox AI Ltd, its directors, and affiliates shall not be held liable for any loss, damage, or harm resulting from your failure to exercise independent due diligence or your decision to rely on AI-generated content in lieu of professional human expertise.

5. Comprehensive Prohibited Conduct

You explicitly agree NOT to use our applications, software, or AI models to:

Illegal Acts: Engage in any activity that violates United Nations resolutions, international public agency regulations, or the criminal and civil laws/regulations of any nation, region, or local jurisdiction.
Universal Harm: Commit any act that endangers or causes harm to yourself, other individuals, pets, animals, plants, or public/private property and assets.
Protection of Minors and Vulnerable Groups: Generate, request, promote, or distribute any adult, sexually explicit, pornographic, or indecent content. This includes, but is not limited to, lewd, lascivious, or obscene material. Any content that exploits, sexualises, or endangers minors or vulnerable individuals/groups is strictly prohibited. Leox AI Ltd maintains a zero-tolerance policy; such actions will result in immediate account termination and, where mandated by law, reporting to relevant law enforcement agencies.
Anti-Social Behaviour: Engage in any conduct that violates common sense, morality, or is deemed anti-social.
Harmful Content: Generate defamation, hate speech, incitement, or any content that violates local customs, social consensus, or religious faiths.
Legal Shielding: Perform any act that would cause Leox AI Ltd to be subject to criminal or civil litigation or claims from international agencies, governments, individuals, or any legal entity.
Technical Misuse: You shall not attempt to reverse engineer, decompile, or extract the underlying model weights or source code of any Service.

6. Specific Product Disclaimers

ApexFX (Finance & Crypto): AI analytics are not financial advice. Leox AI Ltd is not a regulated financial entity. You bear 100% of the risk for all transactions.
VoyagerAI (Travel Planning): We are not responsible for physical safety or disruptions in AI-planned journeys.
PawPulse (Pet Wellness): AI insights are not medical diagnoses. Always consult a qualified veterinarian for animal health concerns.

7. Intellectual Property & Persona Disclaimer

Ownership: All proprietary algorithms, the "Infinite Lion" branding, UI/UX designs, and software are the exclusive property of Leox AI Ltd.
No Emotional Bonding: You are strictly prohibited from developing emotional or romantic dependencies on the AI. Any "persona" is a mathematical simulation; Leox AI Ltd is not liable for psychological distress arising from your personification of the AI.

8. Indemnification and Third-Party Claims

You agree to indemnify, defend, and hold harmless Leox AI Ltd, its affiliates, officers, and employees from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the services, your violation of these Terms, or your infringement of any third-party rights.
You agree to indemnify, defend, and hold harmless Leox AI Ltd from any and all claims, liabilities, and expenses (including legal fees) brought by any third party—including but not limited to your family members, heirs, personal representatives, estate beneficiaries, or any legal entities/affiliates—arising out of or related to your use of the Services, any Output generated, or any psychological/physical consequences thereof. You acknowledge that this obligation survives your death or the termination of your account.

9. Limitation of Liability and Force Majeure

Force Majeure: Leox AI Ltd shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters (Acts of God), war, civil unrest, riots, terrorism, strikes, or major infrastructure/internet failures.
Ironclad Shield: To the maximum extent permitted by the laws of England and Wales, Leox AI Ltd shall NOT be liable for any wrongful death, personal injury, psychological harm, or financial loss resulting from your use of the service.
Liability Cap: Our total cumulative liability shall not exceed the fees paid by you for the service in the six months preceding the claim.

10. Reservation of Rights

Leox AI Ltd fully retains the absolute and unconditional right to initiate both civil and criminal proceedings, seek criminal prosecution, and demand comprehensive financial compensation, restitution, or liquidated damages against any user for improper conduct, any breach of these Terms, or any act that damages or devalues the company's reputation, brand, digital assets, or intellectual property. We further reserve the right to pursue all other available legal remedies, recourses, and injunctive relief under the laws of England and Wales and any other applicable international jurisdictions. Leox AI Ltd’s failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or remedy.

11. Third-Party Services and Platform Compliance

We utilise external models from industry leaders (e.g. OpenAI, Google).

Data Sharing Disclosure: In accordance with Apple App Store Guideline 5.1.2(i), your data may be shared with specific third-party AI providers (including OpenAI and Google) to process your requests. By using the AI features, you provide explicit consent for this data sharing.
Disclaimer: We are not responsible for the performance, inherent biases, or safety failures of these third-party platforms.

12. Account Termination & Safety Monitoring

We reserve the right to monitor interactions to ensure compliance with safety protocols. We may immediately suspend or terminate your access if we detect prohibited conduct, including self-harm ideation, malicious use, or violations of Section 5.

13. Governing Law and Mandatory Arbitration

Jurisdiction: These Terms are governed by the laws of England and Wales.
Mandatory Complaints Procedure: In accordance with the Data (Use and Access) Act 2025 (DUAA), you must first seek resolution via our formal internal complaints procedure by emailing support@leoxapp.ai.
Vexatious Complaints: We reserve the right to charge a fee or refuse action on complaints deemed manifestly unfounded under UK law.
Binding Arbitration: Any unresolved dispute shall be resolved via private, binding arbitration in London under the Arbitration Act 2025. You hereby waive your right to a trial by jury or participation in a class-action lawsuit.
Extended Scope: This arbitration agreement is intended to be broadly interpreted and shall be binding upon the parties’ respective heirs, successors, assigns, executors, administrators, and personal representatives. Any claim brought by a third party on your behalf or arising from your use of the Services shall be subject to the mandatory private arbitration and class-action waiver provisions herein.

14. Binding Effect on Successors and Assigns

These Terms are binding upon and inure to the benefit of Leox AI Ltd and you, as well as our respective successors, permitted assigns, heirs, executors, and legal representatives. In the event of your death or incapacity, your estate and legal representatives shall remain bound by the limitations of liability, disclaimers, and prohibited conduct obligations set forth in these Terms.

15. In-App Purchases, Subscriptions, and Refunds

Transaction Processing: All transactions for paid features, digital goods, or premium subscriptions made within our mobile applications (“In-App Purchases”) are processed and managed via the Apple App Store or Google Play Store. By initiating an In-App Purchase, you acknowledge that the transaction is subject to the respective store’s terms and conditions.
Subscriptions and Auto-Renewal: Certain Services are offered on a subscription basis. Subscriptions automatically renew for the same duration as the initial period unless cancelled through your device’s store settings at least 24 hours prior to the end of the current billing cycle. You are responsible for managing your subscriptions and auto-renewals.
Refund Policy: Leox AI Ltd does not process, manage, or issue refunds for In-App Purchases directly. Any request for a refund must be submitted directly to the Apple App Store or Google Play Store, and shall be governed by their respective refund policies and applicable local consumer protection laws.
Pricing Modifications: We reserve the right to adjust the pricing of our Services or introduce new fees at any time. Any such changes will be communicated via the Services or the respective app store platforms and will take effect upon the next renewal period.
